What Massachusetts requires

A resident agent must have a physical street address in Massachusetts and be available there during normal business hours to accept service of process. The appointment is continuous — the obligation does not pause because the business is dormant or the owner has moved.

Separately, the entity must file an annual report with the Massachusetts Secretary of the Commonwealth, Corporations Division. It is due the anniversary of your formation date and currently costs $500 for a domestic entity.

Massachusetts does not send annual report reminders, and the deadline moves with your formation date rather than sitting on a fixed day. That combination is why Massachusetts LLCs fall out of good standing more often than their owners expect.

Changing your resident agent

You can change your resident agent at any time and you do not need the current agent's permission. It is done by filing Statement of Change of Resident Agent with the Massachusetts Secretary of the Commonwealth, Corporations Division, which the state charges $25 to record.
