What Maine requires

A registered agent must have a physical street address in Maine and be available there during normal business hours to accept service of process. The appointment is continuous — the obligation does not pause because the business is dormant or the owner has moved. Maine uses "clerk" for corporations and "registered agent" for LLCs; the role is the same.

Separately, the entity must file an annual report with the Maine Secretary of State, Division of Corporations, UCC and Commissions. It is due June 1 and currently costs $85 for a domestic entity, or $150 for an entity formed in another state.

Maine does not mail annual report forms or invoices. The June 1 deadline is yours to track, and the state warns that official-looking mail about it is often a scam solicitation.

Changing your registered agent

You can change your registered agent at any time and you do not need the current agent's permission. It is done by filing MLLC-3 / CLKRA-3 with the Maine Secretary of State, Division of Corporations, UCC and Commissions, which the state charges $35 to record.

Your entity is otherwise untouched: same charter number, same formation date, same standing. Only the address the state holds for notices changes. We prepare and file the change, and we pay that state fee ourselves.
