1. Who we are

This site is operated by Apex Corporate Services, LLC (ApexClerk), PO Box 2670, Bangor, ME 04402. Referring to "we" or "us" on this site means that company.

Nothing on this site — including descriptions of filing deadlines, state fees, statutory requirements, or the consequences of missing a deadline — is legal advice, and no attorney-client relationship is created by reading it or by using our services.

3. Accuracy of information

We make a genuine effort to keep state fees, deadlines, and procedures current, and we verify them against each Secretary of State. They are nonetheless set by the states and can change at any time without notice to us. We do not warrant that everything on this site is accurate or complete at the moment you read it, and you should not rely on it as your only source for a filing decision.

4. Using this site

You agree not to:

• use the site for any unlawful purpose, or to submit information you are not authorised to submit;
• submit false or misleading information about yourself or an entity;
• attempt to gain unauthorised access to the site, its systems, or anyone else's data, or interfere with its operation;
• scrape, harvest, or systematically extract content or data from the site; or
• copy or reuse our content for a competing service.

5. Accounts and information you give us

Where you submit information — through a signup, a quote request, or a contact form — you confirm it is accurate and that you are authorised to provide it on behalf of any entity you name. You are responsible for keeping your contact details current; that is how documents reach you.

6. Payment

Payments are processed by Stripe. We do not receive or store your full card or bank account details. By paying, you also agree to Stripe's terms as they apply to the payment. Prices are in US dollars.

Purchases of registered agent service are subject to the Registered Agent Services Agreement, including its renewal, cancellation, and refund provisions.

7. Intellectual property

The content, design, and code of this site are ours or our licensors'. You may read and print pages for your own use. Any other reproduction, distribution, or commercial use requires our written permission.

8. Links to other sites

We link to Secretary of State websites and other third-party resources for convenience. We do not control them and are not responsible for their content, accuracy, or availability.

9. Disclaimer and limitation of liability

The site is provided "as is" and "as available", without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the site will be uninterrupted or error-free.

To the maximum extent permitted by law, we are not liable for indirect, incidental, consequential, special, or punitive damages arising from your use of this site. Our liability in connection with purchased services is governed by the Registered Agent Services Agreement.

Nothing here limits liability that cannot be limited as a matter of law.

10. Changes

We may update these terms. The effective date above shows when they last changed, and continuing to use the site after a change means you accept it.

11. Governing law

These terms are governed by the laws of the State of Maine, without regard to its conflict of laws rules. The state and federal courts located in Maine have exclusive jurisdiction over any dispute arising out of them.
