Maine does not mail annual report forms or invoices. The June 1 deadline is yours to track, and the state warns that official-looking mail about it is often a scam solicitation.

What the annual report is

It is a yearly filing with the Maine Secretary of State, Division of Corporations, UCC and Commissions that confirms your entity's current information — its officers or managers, its principal address, and its registered agent. It is not a tax return and it is not a financial statement; it exists so the public record stays accurate.

The fee is $85 for a domestic entity, or $150 if the entity was formed in another state and registered to do business in Maine. It is due June 1.

If you miss it

A $50 late penalty attaches on top of the $85 fee. Left unfiled, the entity falls out of good standing and can eventually be administratively dissolved. The practical damage is rarely the penalty — it is discovering the problem in the middle of a closing, a loan, or a sale, when someone asks for a certificate of good standing and it cannot be issued.
