Massachusetts annual report: deadline, fee, and how to file

Fee

$500

Due

the anniversary of your formation date

Late penalty

Massachusetts does not send annual report reminders, and the deadline moves with your formation date rather than sitting on a fixed day. That combination is why Massachusetts LLCs fall out of good standing more often than their owners expect.

What the annual report is

It is a yearly filing with the Massachusetts Secretary of the Commonwealth, Corporations Division that confirms your entity's current information — its officers or managers, its principal address, and its resident agent. It is not a tax return and it is not a financial statement; it exists so the public record stays accurate.

The fee is $500 for a domestic entity. It is due the anniversary of your formation date.

If you miss it

Left unfiled, the entity falls out of good standing and can eventually be administratively dissolved. The practical damage is rarely the penalty — it is discovering the problem in the middle of a closing, a loan, or a sale, when someone asks for a certificate of good standing and it cannot be issued.

How to file it

  1. 1

    Confirm what's on record

Check the Massachusetts Secretary of the Commonwealth, Corporations Division's record for your entity so the report matches reality — officers and addresses change more often than people remember to update them.

  2. 2

    Complete and submit

File with the Massachusetts Secretary of the Commonwealth, Corporations Division and pay the $500 fee. Keep the confirmation.

  3. 3

    Or have it done

On our Compliance tier we prepare and file it each year, pass the state fee through at cost, and send you the receipt.

Questions

Massachusetts annual report FAQ

When is the Massachusetts annual report due?
the anniversary of your formation date. Because it moves with your formation date rather than sitting on a fixed calendar date, it is easy to lose track of. The Massachusetts Secretary of the Commonwealth, Corporations Division does not mail a reminder.
How much is the Massachusetts annual report?
$500 for a domestic entity.
What happens if I miss the Massachusetts deadline?
If it stays unfiled, the entity eventually falls out of good standing and can be administratively dissolved. That usually surfaces at the worst moment — a bank, a buyer, or a title company asking for a certificate of good standing.
Can someone file the Massachusetts annual report for me?
Yes. On our Compliance tier at $300 a year we prepare and file it every year, pass the state's $500 fee through at cost, and send you the confirmation.
Do I have to file if the business had no activity?
Yes. The obligation attaches to the entity existing, not to whether it traded. A dormant entity still has to file.
